Steve has advised large companies and startups for over 20 years guiding Corporate Contracts, Governance and Compliance as well as the full range of Employment & Labor matters.

  • Recently as Chief Legal Officer for a biotechnology company, he drove contracts from feasibility studies and clinical trials to vendor supply agreements and executive employment agreements; he oversaw asset sale due diligence with global conglomerates; and guided compliance matters of employment, the Board, the FDA, etc. Flowing from this, he was consulted by the FDA in drafting subsequently published regulatory guidelines.
  • Delivering general counsel toward overall corporate health, Steve has taught business law, negotiations, and ADR at universities; led numerous deals, corporate and employment restructures; and developed detailed legal compliance roadmaps related to 2x and 4x scaling efforts. Clients have come from governments, bio/pharma, software, traditional and green energy, and higher education. For the $3B and 35,000-employee system of U.C. Berkeley, he updated all contracts - for employees and contractors - to reflect latest IRS guidance; and he accelerated diverse leave programs by addressing specific policies & forms, then aiding development of unified task force.
  • Before passing the bar, he drove four years of improvements as HR Director (complete function) into a 2,000-employee division of a Fortune 500 company, where he served on two parent-company committees, Compensation and Retirement. Then he assisted the Division through its ultimate goal of M&A activity, and earned special funding to pursue his B.A.

He earned a B.A. in Political Science from Northwestern University, securing an additional scholarship to learn arbitration from the Chicago court system’s single provider; then serving appointments as Arbitrator to the University, and Mediator to the State Attorney General; and concurrently partnering with the Director of a major nonprofit law firm to add new offices, services and training - to proactively minimize employment matters.

Receiving his J.D. from Georgetown University Law Center, he earned a scholarship to study litigation and ADR directly from top European tribunals; while serving on three appointments: Dean’s Roundtable, Global Scholar co-instructing International Trade Disputes, and Technology Committee negotiating campus contracts. His introduction to practicing law came in service to the co-founder of a top German commercial firm, Heuking Kühn Lüer Wojtek, hammering out multinational joint ventures, renewals, liquidations and related litigation and ADR. Steve is currently an active member of the DC Bar.

Passionate about sharing this knowledge, he consistently serves on executive committees, teaches at universities, presents at conferences including the Society for Human Resource Management (SHRM), has built business accelerators, judged startup competitions, and has been commissioned by multiple governments for white papers. He never stops learning, having certified as Senior Professional of Human Resources (SPHR), Microsoft Certified Professional (MCP), Project Management Professional (PMP), Certified Information Privacy Professional (CIPP/US), etc.
